- 上海汉盛律师事务所专职律师，主要工作领域为证券及投融资法律业务，包括代表公司改制、重组及上市融资、收并购业务，债券发行，QFLP及人民币海外直投基金、私募基金的设立和发行等，在境内外资本运作方案策划和实施等方面具有丰富经验。为境外企业及个人在华投融资项目、境外企业公开发行证/债券项目等提供专项法律服务。
Specialize in cross-border investments, securities and corporation law, merger and acquisition, as well as corporate compliance. Assist clients to achieve their goals of investment, business expansion, and risk control.
执业业绩：
- 代表数十家中外私募股权基金为其投资入股中外企业、资金退出等项目中就交易架构、交易文件、尽职调查、协商及谈判等全程提供法律服务。在近百家上市项目、新三板挂牌及企业分拆上市、增发新股、重大资产置换、股权转让等上市公司资产重组项目、某境外上市公司的债转股发行项目中提供专业法律服务。先后为包括上市公司、国有四大银行上海市分行银团贷款、项目融资等提供专项或法律顾问服务；此外，作为某地方银行的法律顾问就其境外期货、金融衍生品交易、贷款项目涉及境外资产项目等事宜联合境外律师事务所提供专项法律服务。
• Represent foreign funds to set up QFII or invest in China, and domestic funds investing oversea projects.
• Represent commercial banks in financing activities, undertake due diligence, Funds of Funds (FOF) issuing, derivatives trading, and banks’ regulatory compliance.
• Represent public companies’ bond issuing both in securities markets and interbank bond market, ABS issuing, as well as investment banks’ FOF issuing and investments.
• Represent companies in major asset restructures and share structure reformations, M&A, reverse takeover, due diligence, and corporate governance work.
• Represent companies in Pre-IPO restructures and reformations, and listings.
• Act as external expert for underwriters’ supervisor team to review the company’s IPO projects and advise on special issues in relation to IPOs.
